Welcome to TicksOTR. These Terms of Service ("Terms") govern your access to and use of our platform, including our website, mobile applications, and related services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account, accessing, or using TicksOTR, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using our Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Eligibility

You must be at least 18 years old to use our Services. By using our Services, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

3. Account Registration

To access certain features of our Services, you must create an account. When creating an account, you agree to:

• Provide accurate, current, and complete information
• Maintain and update your information to keep it accurate and current
• Keep your account credentials secure and confidential
• Notify us immediately of any unauthorized use of your account
• Accept responsibility for all activities that occur under your account

We reserve the right to suspend or terminate your account if any information provided is inaccurate, false, or incomplete.

4. Use of Services

4.1 Permitted Use

You may use our Services only for lawful purposes and in accordance with these Terms. You agree not to:

• Violate any applicable laws or regulations

• Transmit any harmful, offensive, or illegal content
• Interfere with or disrupt the Services or servers

4.2 Event Organizers

If you are creating and selling tickets for events, you agree to:

• Provide accurate and complete event information
• Deliver the event as described in your listing
• Honor all tickets sold through our platform
• Comply with all applicable laws and regulations
• Obtain necessary permits, licenses, and insurance
• Handle customer inquiries and issues professionally

5. Ticket Purchases

5.1 Purchase Process

When you purchase tickets through TicksOTR, you enter into a contract with the event organizer, not with TicksOTR. We act as a platform facilitating the transaction between buyers and sellers.

5.2 Payment

You agree to pay all fees and charges associated with your purchase, including ticket prices, service fees, and any applicable taxes. All payments are processed through secure third-party payment processors.

5.3 Refunds and Cancellations

Refund policies are set by individual event organizers. Please review the refund policy for each event before purchasing. TicksOTR is not responsible for refunds unless specifically stated otherwise.

6. Fees and Charges

TicksOTR charges service fees for the use of our platform. These fees are clearly displayed before you complete a transaction. We reserve the right to change our fees at any time, but such changes will not affect transactions already completed.

For event organizers, payment processing fees and platform fees will be deducted from ticket sales before funds are disbursed to you.

7. Intellectual Property

7.1 Our Rights

All content, features, and functionality on our platform, including but not limited to text, graphics, logos, images, and software, are owned by TicksOTR or our licensors and are protected by copyright, trademark, and other intellectual property laws.

7.2 Your Content

When you post content on our platform (such as event descriptions, images, or reviews), you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display such content in connection with operating and promoting our Services.

8. Disclaimers and Limitations of Liability

8.1 Service Availability

We strive to provide uninterrupted access to our Services, but we do not guarantee that our Services will be available at all times or free from errors. We may suspend or discontinue any part of our Services without notice.

8.2 Third-Party Events

TicksOTR is not responsible for the quality, safety, legality, or any other aspect of events listed on our platform. Event organizers are solely responsible for their events and compliance with applicable laws.

8.3 Limitation of Liability

To the fullest extent permitted by law, TicksOTR and its affiliates, officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of our Services.

9. Indemnification

You agree to indemnify, defend, and hold harmless TicksOTR and its affiliates from any claims, liabilities, damages, losses, and expenses (including legal fees) arising out of or related to:

• Your use of our Services
• Your violation of these Terms
• Your violation of any rights of another party
• Your content or events posted on our platform

10. Dispute Resolution

10.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law provisions.

10.2 Dispute Resolution Process

In the event of any dispute arising out of or relating to these Terms or our Services, the parties agree to first attempt to resolve the dispute through good faith negotiations. If the dispute cannot be resolved through negotiations, it shall be submitted to arbitration in Nigeria in accordance with the Arbitration and Conciliation Act.

11. Termination

We may suspend or terminate your access to our Services at any time, with or without cause or notice, for any reason, including if we believe you have violated these Terms. Upon termination:

• Your right to use our Services will immediately cease
• We may delete your account and all associated data
• You will remain liable for any outstanding obligations
• Certain provisions of these Terms will survive termination
